1. Agreement to Terms
These Terms & Conditions (“Terms”) constitute a binding agreement between you (“Client,” “you,” or “User”) and Soma-Q LLC (“Soma-Q,” “we,” “our,” or “us”). By using our website, enrolling in our programs, or engaging in coaching, consulting, or educational services (collectively, the “Services”), you agree to these Terms.

2. Governing Agreement
In the event of any conflict between these Terms and a separately executed Client Services Agreement, the Client Services Agreement shall be the Governing Agreement.

3. Eligibility
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to participate. By using the Services, you represent that you are legally able to enter into this Agreement and that your participation does not violate any laws or regulations applicable to you.

4. Description of Services
Soma-Q provides somatic and neuroscience-based coaching, leadership training, wellness education, digital programs, and related content. Specific program details may be outlined in separate agreements at the time of enrollment.

5. Somatic Practices and Emotional Safety
Soma-Q’s Services are somatically informed and may include breathwork, mindfulness, or embodied awareness practices that can evoke physical or emotional responses. Participation is voluntary, and clients are encouraged to practice self-compassion and to communicate their boundaries at all times. Soma-Q is not a medical or mental health provider and does not diagnose or treat psychological disorders.
Clients who choose to modify or discontinue participation do so at their own discretion. No refunds or legal claims shall arise from a client’s decision to stop, alter, or decline participation. Adjustments to programs or payment terms are at Soma-Q’s discretion.

6. Confidentiality
Both Parties agree to treat all proprietary or sensitive information shared during the course of Services (“Confidential Information”) as strictly confidential. This includes, but is not limited to, intellectual property, inventions, business plans, client data, strategies, and trade secrets.

7. Intellectual Property Rights
All materials provided by Soma-Q—including written content, course materials, meditations, videos, methods, branding, frameworks, and trademarks—remain the sole property of Soma-Q. Clients may use materials for personal, non-commercial purposes only.

8. Relationship of the Parties
Soma-Q operates as an independent contractor. Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between the Parties.

9. Assumption of Risk
Client acknowledges that participation in somatic or wellness activities involves voluntary personal development work that may elicit emotional or physical responses. Soma-Q’s Services are not a substitute for medical or psychological care.

10. Limitation of Liability
To the fullest extent permitted by law, Client agrees that Soma-Q’s total liability for any claim related to the Services or these Terms shall not exceed the total amount paid by Client to Soma-Q.

11. Non-Disparagement
Both Parties agree not to make or publish false, defamatory, or disparaging statements about each other that could harm business reputation or personal integrity.

12. Force Majeure
Neither Party shall be liable for failure to perform obligations due to events beyond their control, including natural disasters, war, terrorism, pandemics, government restrictions, or similar events.

13. Disclaimers and Warranties
The Services are provided “as is” and “as available.” Soma-Q makes no guarantees of specific results or outcomes.

14. Governing Law
These Terms are governed by the laws of Colorado, United States.

15. Notice
All formal notices must be provided in writing via email or certified mail: To Soma-Q: Megan@Soma-Q.com. To Client: The email address provided during enrollment.

16. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement
These Terms, along with Soma-Q’s Privacy Policy, Accessibility Statement, and any applicable enrollment agreement, represent the complete agreement between the Parties.
